1Operator and scope
Memento Technologies ("Memento", "we", "us") operates Memento Daily. It is a French simplified joint-stock company (SAS) with share capital of 1 000 €, registered with RCS Paris under number 109 078 113. Its registered office is at 10 rue de Penthièvre, 75008 Paris, France.
For support or questions about these terms, contact support@mementodaily.com. Support is available in English and French.
These Terms of Service govern access to Memento Daily, the purchase of charges and the hotel bookings made in it. By creating an account or using the service, you agree to these terms. The Privacy Policy explains how we process personal data.
2Description of the service
Memento Daily is a personal assistant powered by artificial intelligence. Its features include conversations with Memento, personal memory, a calendar and shared events, saved places and hotels, messages with friends and groups, hotel bookings, a flight search that opens the airline’s own website to book, and Memento Support, a help desk in the application. The assistant can search the web, read pages and use an anonymous web browser to research and prepare a step for you; it never signs in to an account, pays or submits a form on your behalf, and you complete those steps yourself on your own device. It acts within these features in response to your requests and to the rituals (recurring tasks) you set.
An internet connection and a compatible browser or application are required. The features are the same for every account. Using the service requires a charge with energy remaining, as described in sections 4 to 6 and shown in your Pass.
External services, including connected calendars, airlines’ websites and other third-party websites, have their own terms. Purchases made through an external seller are concluded with that seller. Hotels can be booked in the app: they are sold by Nuitée, as described in section 18, and Memento does not collect payments for them. Flights are not sold in the app: you book and pay for them on the airline’s own website, as described in section 18.
3Account eligibility and security
You must be at least 16 years old, or meet a higher minimum age required by the law applicable to you. If you do not have legal capacity to enter into this agreement or make a purchase, you must obtain the authorisation of your legal representative.
Each account is personal. Provide accurate account information, protect your sign-in credentials and notify support if you suspect unauthorised access. Account sharing, resale and access on behalf of a suspended user are prohibited.
4Charges, the welcome charge and invitations
Memento Daily is used through charges. A charge is a fixed amount of energy, as described in section 6. A charge has no time limit and does not expire: its energy is reduced only by the metered activity described in section 6, never by the passage of time. The charges you hold are shown in your Pass, entitled “Memento’s energy” in the application. One charge is in use at a time and the others wait; when the charge in use is empty, the next one starts automatically the next time you use Memento.
Each new account receives one welcome charge at no cost. It requires no payment method.
Once you have used Memento Daily on five separate days, consecutive or not, you receive a reward of one tenth of a charge, at no cost, collected in the application the next time you open it. A collected reward is used right after the charge in use and does not expire. The day a reward is collected counts as the first day toward the next one.
When someone joins Memento Daily through your personal invitation link or QR code before ever writing to Memento, they receive one additional charge immediately. You receive one additional charge, once, when the first friend who joined through your link sends a first message to Memento. There is no limit to the number of friends you can invite: later friends join you without a charge, so each person receives at most two invitation charges, one for being invited and one for inviting. An invitation accepted on a device already used by another account earns no charge. To protect this offer against abuse, we may also refuse or withdraw charges obtained through fraud, self-invitation or automated or duplicate accounts.
Confirmed hotel bookings also add charges to your Pass, as described in section 18, and we may add charges as a goodwill gesture.
Welcome, reward, invitation, booking and goodwill charges have no cash value, cannot be transferred or exchanged, do not renew and never give rise to any payment.
5Purchasing charges and payment
You can purchase additional charges from your Pass. Each purchase is a single payment for the number of charges you choose: it is not a subscription, it does not renew automatically and it requires no cancellation.
On the website, you can buy from 1 to 52 charges per purchase. The price in euros per charge, applicable taxes and the total amount payable are displayed at checkout before you confirm payment. Before confirming payment, you must accept these terms and give the consent and acknowledgement described in section 8. Payments are processed by Stripe, and a receipt is sent to you by email.
In the Memento Daily applications for iOS and Android, charges are purchased through the in-app purchase of Apple’s App Store or Google Play, from 1 to 10 per purchase. The store displays the price before you confirm, collects the payment and sends you its receipt, under its own terms, which also govern any refund of that payment (sections 7 and 8). The price in the applications is set for each store and country and may differ from the price on the website. Memento does not receive your payment details.
Purchased charges are added to your Pass once the payment is confirmed by Stripe or by the store. They are used after the charges you already hold, each starting as described in section 4. If you make a purchase while Memento is asleep (section 6), Memento wakes once payment is confirmed and the new charge starts the next time you use it. A charge, and any energy remaining in it, stays available in your Pass for as long as your account is open.
Any change to the price applies only to purchases made after it takes effect.
6Energy and sleep
Each charge contains the same set usage allowance, shown in your Pass as Memento’s energy. Metered activity, including assistant responses, provider services and background tasks, draws on the energy of the charge in use. Your Pass shows the energy remaining in that charge and the number of charges waiting.
When the charge in use is empty and you hold another, the next one starts automatically the next time you use Memento. A new charge is started only by your own use of the service: recurring and background tasks do not start one and rest until then. Memento sleeps only when every charge you hold is empty: the features that use energy are then unavailable until a new charge is added to your Pass, through an invitation or a reward (section 4), a purchase (section 5) or a booking (section 18). Running out of energy does not delete your saved content and never gives rise to any payment.
Some features use no energy and remain available while Memento sleeps, within fair-use limits: Memento Support, the destination ideas in World, and viewing or cancelling your bookings. Once you reach the fair-use limit of Memento Support, you can still send a request to our team. A question asked in a conversation with Memento rather than in Memento Support uses energy like any other.
7Immediate supply; no refunds
Every purchase is a single payment: there is no recurring payment and nothing to cancel.
Purchased charges constitute digital content not supplied on a tangible medium. They are supplied immediately: they are added to your Pass and are available for use as soon as payment is confirmed. Accordingly, and subject to section 8, all payments for charges are final and non-refundable, in whole or in part, whether or not the charges purchased have been used.
A purchase made in the iOS or Android application is paid to Apple or Google: any refund of it is requested from the store, which decides it under its own terms and refund process, and Memento cannot refund it itself.
This section does not affect your rights where the service does not conform to the contract (section 14) or where an amount was billed in error (section 10), nor any other right to a refund that cannot be excluded by contract under the law applicable to you. Where a payment is nonetheless refunded, by us or by a store, or successfully disputed, the corresponding charges are removed from your Pass, starting with those that have not yet been used.
8Right of withdrawal and express waiver
As a consumer, you ordinarily have a period of 14 days from the conclusion of a distance contract in which to withdraw from it without giving any reason.
In accordance with Article 16(m) of Directive 2011/83/EU and Article L. 221-28, 13° of the French Consumer Code, that right does not apply to the supply of digital content not supplied on a tangible medium where performance has begun with the consumer’s prior express consent and acknowledgement that the right of withdrawal is thereby lost. Before any payment on the website, the checkout requires you to request expressly the immediate supply of the charges purchased and to acknowledge that you thereby lose your right of withdrawal; no purchase can be completed without that request and acknowledgement. Performance begins when the charges are added to your Pass, and your right of withdrawal is lost from that moment.
Your request and acknowledgement are confirmed to you on a durable medium, in the receipt sent to you by email after the purchase, and are recorded with the purchase.
Where, exceptionally, a purchase on the website was completed without that request and acknowledgement having been given, you retain your right of withdrawal for 14 days from the purchase. To exercise it, send a clear statement to support@mementodaily.com or by post to Memento Technologies, 10 rue de Penthièvre, 75008 Paris, France, before the deadline, including information that allows us to identify the purchase; you may use the form in section 9. Any refund due is made within 14 days of receipt of your notice, using the original payment method unless you expressly agree otherwise and incur no additional cost.
For a purchase made in the iOS or Android application, the store’s purchase process and terms set out how the right of withdrawal applies to it, and any withdrawal is exercised with Apple or Google under those terms.
9Withdrawal form
This form applies only in the circumstances described in the fourth paragraph of section 8. You may use it, but any clear statement of withdrawal is sufficient.
To: Memento Technologies, 10 rue de Penthièvre, 75008 Paris, France — support@mementodaily.com.
I hereby give notice that I withdraw from my contract for the purchase of charges of Memento Daily. Date of purchase: […]. Name: […]. Address: […]. Account email or order reference: […]. Date: […]. Signature (only if sent on paper): […].
10Payment incidents and billing errors
A payment that fails or is not confirmed adds no charges to your Pass.
If you identify a billing error, contact support with the relevant receipt or payment reference. Amounts billed in error are corrected or refunded as appropriate.
A purchase made in the iOS or Android application is billed by Apple or Google: report a billing error on it to the store, and contact our support if you need help.
11Acceptable use
You must use Memento lawfully and respect other users’ rights. In particular, you must not:
- Use the service for fraud, harassment, unlawful discrimination or other harmful or illegal activity.
- Access another person’s account or data without authorisation, circumvent security or usage limits, or disrupt the service.
- Upload or share content without the necessary rights or permissions.
- Resell access, provide unauthorised automated access, or extract service content to build a competing model or dataset.
- Reverse-engineer the service except where expressly permitted by applicable law.
12User content and intellectual property
You retain your rights in the content you provide. You authorise Memento to host, reproduce, process and display that content only as necessary to provide the service, carry out your instructions and share it with the recipients you select. Personal-data processing is described in the Privacy Policy.
The software, brand, interface and other elements provided by Memento remain protected by intellectual property law. These terms grant a personal right to use the service; they do not transfer ownership of those elements.
AI-generated content may be similar to content provided to other users and may not qualify for intellectual property protection. You are responsible for checking that your use of it respects third-party rights.
13Artificial intelligence and reliance on results
Memento’s assistant runs on artificial intelligence provided by third parties: Anthropic’s Claude and, when it stands in, OpenAI, which also provides memory search and voice dictation. To answer you, your messages and the context they need, such as your memory, your calendar and your recent position, are sent to these providers. They process them under their commercial terms and, by default, do not use them to train their models. By accepting these terms, you agree to this sharing, which the Privacy Policy describes in full.
Memento’s responses may contain errors, omissions or outdated information. Verify information that matters to your decisions, including prices, availability, opening hours and applicable rules. Review the outcome of actions performed by the assistant.
The service provides general information. It is not a substitute for qualified medical, legal, financial or tax advice, and it is not an emergency service. These limitations do not exclude Memento’s statutory obligations or your consumer rights.
14Service conformity and availability
Consumers benefit from the mandatory legal guarantees applicable to digital services. Under French law, the legal guarantee of conformity (Articles L. 224-25-12 et seq. of the French Consumer Code) applies throughout the contractual period of continuous supply, including necessary updates. You may request that a non-conforming service be brought into conformity at no cost and, where the statutory conditions are met, obtain a price reduction or termination and a refund.
To request a remedy, contact Memento Technologies at support@mementodaily.com or at the registered office above, describing the issue. These rights apply independently of any commercial guarantee.
The service may be interrupted for maintenance, security reasons or incidents. Changes to features and these terms remain subject to applicable law, including the rules governing modifications to digital services. We will notify you of material changes before they take effect and explain any applicable cancellation rights. Any consent required by law will be obtained separately.
15Account closure and suspension
You can request account deletion in Settings. Deleting your account permanently removes the charges you hold, including purchased charges that have not been used or have been only partly used. No refund is due for those charges, in accordance with section 7 and without prejudice to your statutory rights. You are informed of this consequence before you confirm the deletion. Data retention and the treatment of previously shared content are described in the Privacy Policy.
We may restrict, suspend or terminate access in response to a breach of these terms, a security risk or a legal requirement. Measures will be proportionate to the circumstances. Where legally and operationally possible, we will explain the reason and give you an opportunity to resolve the issue or contest the decision through support.
16Liability
Each party is responsible for breaches of its obligations under the conditions provided by applicable law. Nothing in these terms excludes or limits liability where that is prohibited, or restricts a consumer’s right to compensation, a legal guarantee or another mandatory remedy.
17Governing law and disputes
These terms are governed by French law. Consumers retain the protection of the mandatory rules of their country of habitual residence and may bring proceedings before the courts available to them under applicable law.
For a complaint, write to support@mementodaily.com with the information needed to review your request. You may also write to our registered office.
French consumers have a right to seek consumer mediation at no cost after an unsuccessful written complaint, subject to the statutory admissibility conditions. Mediation is voluntary and does not prevent access to the courts.
18Hotel bookings and flight search
Memento lets you search, compare and book hotels. These bookings are sold by Nuitée Travel Limited, a company registered in Ireland whose registered office is at 4 Waterloo Road, Ballsbridge, Dublin D04 A0X3 (“Nuitée”). Nuitée is the seller: the booking contract is concluded with Nuitée under its terms and the conditions of the rate you choose, and the hotel provides the stay under its own conditions. Memento helps you choose, book and manage the booking; it does not itself provide the stay.
Memento also lets you search and compare flights, but it does not sell them. When you choose a flight, Memento opens the airline’s own website for that trip, with its route, dates and number of travellers, and names the flights to choose there. When your outbound and return flights are with different airlines, it opens each airline’s website for its flight; where no such link is available, it opens a third-party flight search for that route and date instead. You book and pay on the airline’s website, under the airline’s terms and conditions of carriage, and the airline is responsible for your ticket, its changes and refunds and your rights as an air passenger, for example under Regulation (EC) No 261/2004. The flight prices shown in Memento come from a flight search provided by Nuitée at the time of your search and are an indication only: the price, fare conditions and availability that apply are those the airline’s website shows before you pay. If you tell Memento you booked a flight, it adds it to your Calendar with any reference you give; Memento does not verify that booking.
Before you pay for a hotel, the booking page shows the total price, including the taxes and fees charged at booking, any amount payable at the hotel, and the main conditions of the rate, including changes, cancellation and refunds. Payment is collected by Nuitée through a Stripe payment form operated for Nuitée; Memento does not receive or store your card details. The same applies in the iOS and Android applications: a booking is never paid through Apple’s or Google’s in-app purchase. Memento’s remuneration is a margin added to Nuitée’s price and included in the price shown. Memento aims to offer a hotel at a price at or below the hotel’s public price; when it does, the booking page shows both.
Hotel results are first shown in a “Best match” order, computed in the same way for everyone from, in decreasing order of importance, guest reviews, value for money, star rating and the completeness of the listing; you can instead sort them by price, rating or distance. Flight results are sorted by price, or by duration or departure time if you choose. When you ask Memento for a recommendation, it ranks the options by how well they fit what you are looking for and the tastes you have shared with it, and shows its first three at the top of the results. No hotel or airline pays Memento to be shown or ranked. Memento’s margin is not a ranking criterion; the hotel prices compared are the prices you would pay.
To book a hotel, give the name and email address of the lead guest. These details are sent to Nuitée to make the booking. Each traveller is responsible for holding the passport, visas and other documents required for the trip.
Changes, cancellations and refunds of a hotel booking follow the conditions of the rate shown before payment. Where those conditions allow, you can cancel from the booking in Tickets or in Memento Support. Nuitée returns any refund to the payment method used. You can ask to change the lead guest’s name or email address; the change takes effect once the hotel confirms it. Other changes, such as new dates, are not available in the app: cancel and book again where the conditions allow, or contact support. When Memento learns that the hotel has changed or cancelled a booking, it tells you in the app and by email, and Nuitée handles the rebooking or refund available under those conditions and applicable law.
Hotel bookings are accommodation services provided on a specific date or for a specific period: under applicable consumer law, the 14-day right of withdrawal does not apply to them. Their cancellation conditions are those of the rate.
Each confirmed hotel booking paid in euros adds energy to your Pass in proportion to its total price: one full charge for every 100 euros, counted to the whole percent of a charge (a 230-euro booking adds 2.3 charges), up to 52 charges. They are added once the booking can no longer be cancelled at no cost or, when no cancellation deadline is known, on the date of check-in. Test bookings, and flights booked on an airline’s website, add no charges.
For help with a booking, open Memento Support in the app, where its assistant answers at any hour and you can send a request to our team, or write to support@mementodaily.com. Nuitée’s support team handles hotel changes, cancellations and refunds at any time of day, behind Memento. For a flight booked on an airline’s website, the airline handles the ticket, its changes and refunds; Memento Support can still help you find your way. A booking marked as a test is not a real reservation: no payment is taken and no room is held.
19Language versions
These terms are available in French and English. For consumers resident in France, the French version prevails in the event of a discrepancy. This provision does not restrict any mandatory protection applicable to the consumer.
